Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Dominic Andre Inc. (“Dominic Andre Inc.,” “Coffee Run,” “Company,” “we,” “us,” or “our”) governing your access to and use of the Coffee Run mobile application, websites, software, content, features, APIs, communications, and related products and services (collectively, the “Services”). By accessing or using the Services, creating an account, or otherwise indicating acceptance, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be legally capable of entering into a binding agreement. The Services are not directed to children under 13. If you are under the age of majority where you live, you may use the Services only with permission of a parent or legal guardian where required by law. You agree to provide accurate account information, safeguard your credentials, and promptly notify us of unauthorized account activity. You are responsible for activity occurring through your account to the extent permitted by law.

2. The Coffee Run Service

Coffee Run may provide discovery, maps, rankings, coffee-shop and business listings, saved locations, passport or visit tracking, gamified progress, achievements, user profiles, ratings, reviews, comments, photos, personalized drink recommendations, nearby-location tools, directional or compass-style tools, leaderboards, social or community features, and other features that we introduce, modify, suspend, or discontinue. Features may be experimental, incomplete, unavailable in some areas, or changed without notice.

3. License

Subject to these Terms, the Company grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for lawful personal use. No ownership rights are transferred to you.

4. Prohibited Conduct

You may not: violate law; infringe intellectual-property or privacy rights; harass, threaten, deceive, impersonate, defame, or exploit another person; submit fraudulent reviews or visits; manipulate rankings, votes, achievements, leaderboards, check-ins, or recommendations; scrape, crawl, harvest, index, reverse engineer, probe, benchmark, copy, resell, or commercially exploit the Services except where law expressly prevents restriction; bypass security or rate limits; introduce malware; use bots or automation without written permission; interfere with operation of the Services; create accounts to evade enforcement; or use Coffee Run to facilitate unlawful conduct.

5. User Content

“User Content” includes reviews, ratings, comments, photos, videos, profile information, usernames, submissions, feedback, reports, and other materials you submit. You retain ownership of rights you hold in User Content. By submitting User Content, you grant Dominic Andre Inc. a worldwide, non-exclusive, royalty-free, fully paid, transferable and sublicensable license to host, store, reproduce, modify for formatting or technical purposes, adapt, translate, publish, publicly display, publicly perform, distribute, create derivative works from, promote, and otherwise use that User Content in connection with operating, improving, marketing, and promoting Coffee Run and the Company's business, subject to applicable privacy law. This license continues for copies already distributed or reasonably retained for legal, security, backup, moderation, or operational purposes after deletion, to the extent permitted by law.

You represent that you have all rights necessary to submit User Content and grant this license; your content is accurate to the best of your knowledge when presented as fact; and your content does not violate law or third-party rights. We may review, moderate, reject, remove, restrict, preserve, or disclose User Content where permitted or required by law, but have no general obligation to monitor all content.

6. Feedback

If you provide ideas, suggestions, concepts, feature requests, or other feedback, you grant the Company a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize that feedback without restriction or compensation, to the extent permitted by law.

7. Business Listings and Third-Party Information

Coffee Run may display information concerning independent coffee shops, restaurants, businesses, menus, hours, addresses, phone numbers, websites, photos, prices, amenities, availability, reviews, and other third-party information. A listing does not imply endorsement, sponsorship, partnership, verification, or affiliation. Information may be incomplete, outdated, inaccurate, user-supplied, or obtained from third-party data providers. Verify important information directly with the business.

8. Maps, Location and Directions

Location, distance, nearby-shop, map, walking, navigation, compass, or directional features are estimates and are not safety-critical navigation services. Do not rely on Coffee Run where inaccurate location information could cause injury, property damage, trespass, unsafe travel, or other harm. Observe signs, traffic rules, property boundaries, and real-world conditions. Never use the Services in a manner that distracts you while driving or operating machinery.

9. Recommendations and Drink Finder

Rankings, personalized recommendations, drink suggestions, popularity scores, search results, and similar outputs are informational and subjective. They are not guarantees of quality, availability, ingredients, allergens, nutrition, caffeine content, or suitability. Users with allergies, dietary restrictions, sensitivities, or medical concerns should confirm ingredients directly with the relevant business.

10. Intellectual Property

The Services, including Coffee Run branding, logos, software, interfaces, graphics, designs, databases, compilations, algorithms, ranking systems, game mechanics as expressed in the Services, text, and Company-created content, are owned by or licensed to Dominic Andre Inc. and protected by applicable law. Except for the limited license above, no rights are granted.

11. Third-Party Services

The Services may interoperate with third-party platforms, maps, authentication providers, analytics providers, cloud services, app stores, websites, or APIs. Their terms and privacy practices govern their services. We are not responsible for third-party services, availability, content, security, or acts or omissions.

12. Suspension and Termination

We may investigate suspected violations and may warn, restrict, suspend, remove content from, or terminate accounts or access where we reasonably believe necessary to protect users, the Company, third parties, or the integrity or security of the Services; comply with law; address fraud or abuse; or enforce these Terms. You may stop using the Services at any time and may request account deletion as described in our deletion policy.

13. Changes to the Services and Terms

We may modify the Services and these Terms. If changes are material, we will provide notice as required by law. The effective date identifies the current version. Continued use after a change becomes effective constitutes acceptance where legally permitted; where additional consent is required, we will seek it.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOMINIC ANDRE INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR DAMAGES ARISING FROM THIRD-PARTY BUSINESSES, USER CONTENT, LOCATION INFORMATION, OR UNAUTHORIZED ACCESS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THESE PARTIES FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO DOMINIC ANDRE INC. FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Dominic Andre Inc. and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, losses, and reasonable legal fees arising from your unlawful use of the Services, your User Content, your violation of these Terms, or your infringement of another person's rights. This provision does not require indemnification for the Company's own unlawful conduct where prohibited by law.

17. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Except for disputes eligible for small-claims court, requests for public injunctive relief where applicable law prevents waiver, and claims concerning intellectual-property infringement or misappropriation, you and Dominic Andre Inc. agree that disputes arising from these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act. Before arbitration, the complaining party must send written notice describing the dispute and requested relief and allow 30 days for an informal good-faith resolution attempt. Arbitration will be administered by a nationally recognized arbitration provider under its applicable consumer rules, subject to applicable law. The arbitrator may award the same individual remedies a court could award. YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. Governing Law

Except to the extent federal law or mandatory local law provides otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

19. General

These Terms and incorporated policies are the entire agreement concerning the Services unless another written agreement expressly applies. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; the Company may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law, subject to applicable law.
